1.0 CORPORATE PROVISIONS & SCOPE

This document governs the use of the Music House KSA digital infrastructure and the procurement of all services—including Strategic Cultural Consultancy, Operational Management, and Educational Programming. By accessing our platforms or engaging our services, you enter into a legally binding agreement with Music House KSA (hereinafter "the Company" or "the Institute").

2.0 SERVICE PILLARS

The Company operates across three primary strategic pillars. Specific terms apply to each:

• 2.1 Cultural Operations: Management of national assets, venues, and gateways (e.g., AlUla Music Hub, Airport Experiences).

• 2.2 Enterprise Consultancy: B2B advisory, talent procurement, and bespoke creative solutions for government and corporate partners.

• 2.3 Academic Residency: Pedagogical tracks and conservatory-standard arts education (The Academy).

3.0 INTELLECTUAL PROPERTY & SOVEREIGN ASSETS

All content, methodologies, curriculum designs, and sonic identities produced by Music House KSA are the exclusive intellectual property of the Company and Astra Group.

• Restricted Use: Unauthorized reproduction of our proprietary pedagogical materials or strategic frameworks is strictly prohibited.

• Brand Protection: Use of the "Music House" or "Astra" trademarks requires explicit written authorization.

4.0 COMMERCIAL GOVERNANCE & PAYMENTS

• B2B/Institutional Contracts: Subject to the specific milestones and payment schedules outlined in individual Service Level Agreements (SLAs).

• Retail/B2C Payments: All retail transactions are processed through the Tamarran platform or authorized gateways.

• Currency: All transactions are denominated in Saudi Riyals (SAR).

5.0 THE ACADEMIC ADDENDUM (RETAIL SERVICES)

This section governs all students and guardians enrolled in the Academy.

5.1 The Academic Residency Model In alignment with our Sovereign Yield strategy, the Academy does not sell "lessons" but "Academic Tenure." Enrollment constitutes a lease of institutional capacity (Slot Security).

5.2 Attendance & The "No-Freeze" Doctrine To protect institutional liquidity and faculty tenure, Music House KSA maintains a strict No-Freeze Policy. * Fixed Obligations: Tuition fees secure the Resident Faculty’s time and the physical/digital slot. The Company does not "pause" memberships for personal travel, exams, or external absences.

• The Masterclass Credit System (MCS): Absences notified with 24-hour notice are converted into Masterclass Credits, redeemable for Saturday Intensives or Performance Workshops. Credits have no cash value.

5.3 Performance & Media Release Resident Artists grant the Company the irrevocable right to document and utilize performance footage for institutional archives and national cultural promotion, in accordance with Saudi Ministry of Culture standards.

6.0 LIMITATION OF LIABILITY & INDEMNITY

• Service Availability: While we strive for operational excellence, the Company is not liable for temporary interruptions in service due to technical maintenance or force majeure.

• Third-Party Platforms: Users interacting with third-party tools (e.g., GoHighLevel, Tamarran) are subject to those providers' respective terms.

• Indemnity: Users agree to indemnify Music House KSA against any claims arising from a breach of these terms or misuse of the Company’s facilities.

7.0 DATA PRIVACY & GOVERNANCE

The Company adheres to the Saudi National Data Management Office (NDMO) standards. Your data is utilized solely for service delivery, institutional reporting, and Astra Group internal compliance.

8.0 DISPUTE RESOLUTION & GOVERNING LAW

These Terms are governed by the laws of the Kingdom of Saudi Arabia. Any disputes arising from the "Business" or "Academy" operations shall be settled exclusively in the courts of Riyadh.
